SUMMARY OF ROLE
SunPower is seeking a Commercial Counsel to support the legal needs of the commercial and industrial (C&I) business unit. The Commercial Counsel reports to the Senior Counsel and will be responsible for supporting the sales and financing of third-party owned C&I solar systems.
ESSENTIAL DUTIES AND RESPONSIBILITIES include the following (other duties may be assigned):
Draft, review, negotiate, amend and interpret power purchase agreements, site leases and equipment leases;
Draft, review, negotiate, amend and interpret construction, tax equity and front- and back-leverage financing agreements and ancillary documents such as engineering, procurement and construction (EPC) contracts, operation and maintenance (O&M) agreements, asset management agreements, performance guarantees and solar renewable energy credit (SREC) agreements;
Provide day-to-day legal support to the C&I sales, project development, project finance, asset management and operation and maintenance functions;
Monitor legal and business developments in the solar industry, particularly with respect to the corporate procurement of renewables;
Describe contractual relationships and legal issues to other departments, including accounting, financial planning and analysis, and upper management;
Capture, organize, and disseminate legal knowledge within the legal department and the business unit; and
Coordinate and oversee work performed by outside counsel.
RELATED EXPERIENCE AND EDUCATIONAL REQUIREMENTS
Minimum requirements - The least amount of skills and training candidates must have to do a specific job. Candidates not meeting these requirements will not be hired for this position.
JD from a top tier law school;
Currently licensed to practice law;
4 years of legal experience, preferably in the energy, project finance, construction, real estate and/or renewables industries;
Self-motivated and comfortable in a dynamic environment;
Ability to distill and communicate complex commercial and legal arrangements for the benefit of non-legal audiences;
Good commercial instincts; and
Good sense of humor and strong team player.
Preferred requirements
Familiarity and experience with power purchase agreements, solar project finance and tax equity;
Background that mixes law firm and in-house experience;
Experience in the fields of energy, project finance, construction, real estate and/or renewables industries; and
Experience at a top tier law firm.
OTHER PERTINENT INFORMATION
Position is located in Austin, Texas (will consider Bay Area, California); and
Domestic travel will be required on occasion.
Minimum Education and
Experience:
Juris Doctor (JD) and 1-4 years of related experience

The fraudster will send a check to the victim who has accepted a job. The check can be for multiple reasons such as signing bonus, supplies, etc. The victim will be instructed to deposit the check and use the money for any of these reasons and then instructed to send the remaining funds to the fraudster. The check will bounce and the victim is left responsible.
